GB Global Limited's board on August 14, 2025 re-approved a merger by absorption with Dev Land & Housing Private Limited (DLH), an unlisted group company, under Sections 230-232 of the Companies Act, 2013. GB Global (the listed Transferor Company) will be absorbed into DLH (the Transferee Company), and the listed entity will stand dissolved after the merger. Eligible shareholders of GB Global will get an exit opportunity through an open offer of Rs. 120 per equity share (against face value of Rs. 10), plus 1 Redeemable Preference Share of Rs. 10 face value for every equity share held. The board also approved Q1 FY26 results showing standalone revenue from operations of Rs. 13.31 crore, total income of Rs. 45.43 crore, and net profit of Rs. 15.25 crore (EPS of Rs. 3.05). The merger needs NCLT and other regulatory approvals to become effective.
The Rs. 120 open offer price offers a meaningful exit at a significant premium over face value, but the scheme effectively delists GB Global — shareholders who do not exit will become unlisted shareholders of DLH. The stock could trade closer to the Rs. 120 exit price once the timeline for the open offer is clearer, with key risk being the time and approvals needed before the offer window opens.
