GB Global Limited's Board, at its meeting on May 29, 2025, approved the audited standalone and consolidated financial results for the quarter and year ended March 31, 2025. Consolidated revenue from operations stood at Rs 19,122.10 lakhs (FY25) vs Rs 21,929.93 lakhs (FY24), with net profit of Rs 10,610.14 lakhs (FY25) vs Rs 4,018.49 lakhs (FY24). EPS was Rs 22.21 (consolidated, FY25). The statutory auditors issued a qualified opinion citing incomplete inventory details and unreconciled trade payables/receivables/GST balances. The Board also appointed Cost Auditor (M/s Pradip Mohanlal Damania) for FY26, Secretarial Auditor (M/s Himesh Pandya & Associates) for FY25, and Internal Auditor for FY26. Additionally, the Board authorized the MD to pursue a voluntary delisting proposal under a proposed scheme of merger with Dev Land & Housing Private Limited (absorption). An exceptional item of Rs 500.55 lakhs was recorded, relating to an amicably settled debt owed to Indian Bank, with the original litigation withdrawn.
Strong jump in consolidated net profit (over 2.5x YoY) is a positive, but the qualified audit opinion and the ongoing merger/delisting plan with Dev Land & Housing could introduce uncertainty for minority shareholders. The delisting proposal, if executed, may eventually lead to exit opportunity for retail investors — worth tracking closely.
