GB Global Limited's board met on August 14, 2025 and approved the unaudited standalone and consolidated financial results for the quarter ended June 30, 2025. On a standalone basis, revenue from operations fell sharply to Rs. 1,330.65 lakhs from Rs. 2,743.44 lakhs in the same quarter last year, but other income of Rs. 3,212.70 lakhs pushed total income to Rs. 4,543.35 lakhs. Net profit stood at Rs. 1,524.86 lakhs with EPS of Rs. 3.05. On a consolidated basis, net profit was Rs. 1,261.21 lakhs with EPS of Rs. 2.52. The board also re-approved the merger of GB Global (Transferor) with Dev Land & Housing Private Limited (Transferee) by way of absorption under Sections 230-232 of the Companies Act, 2013. Eligible shareholders of GB Global will get an exit opportunity of Rs. 120 per share or 1 Redeemable Preference Share (Rs. 10 face value) for every 1 equity share held. Post-merger, the listed entity will stand dissolved. During the quarter, the company also sold its 50% stake in DLH North Housing LLP.
The sharp drop in core operating revenue despite a profit suggests earnings are being propped up by other income, which investors should examine closely. The merger with DLH (its own resolution applicant) effectively ends the listed status of GB Global, offering shareholders either Rs. 120 per share in cash or redeemable preference shares, providing a clear exit at a significant premium to the Rs. 10 face value.
