JTL Defence Ltd (Scrip Code: 537254) underwent a sweeping leadership overhaul at its January 6, 2026 board meeting. Mr. Dhruv Singla, cousin of Managing Director Pranav Singla, was appointed as Additional Executive Director and Chairperson for a 5-year term. Three new Independent Directors were inducted: Dr. Venkatagowri Sankara Jayaram Pyla, Mr. Satinder Singh, and Mrs. Neerja Chathley, each for 3-year terms. Three senior personnel stepped down — Mr. Madan Mohan (Whole-time Director), Mr. Rakesh Garg (Chairperson and Non-Executive Director), and Ms. Sarika Kaur (Company Secretary). Shareholders should note the simultaneous exit of the prior Chairperson, Whole-time Director, and Company Secretary alongside the elevation of a family member of the existing MD to the Chairperson role — a move that may attract governance scrutiny. The induction of three experienced Independent Directors (defense, banking, and education backgrounds) and a seasoned CFO, however, strengthens oversight and finance leadership.
