Genus Prime Infra Ltd has fixed Friday, February 06, 2026, as the Record Date to identify shareholders of Genus Power Infrastructures Ltd who will receive shares of Genus Prime Infra under a Scheme of Arrangement. Under the swap ratio, shareholders of Genus Power Infrastructures will get 1 equity share of Genus Prime Infra (face value Rs. 2) for every 6 equity shares held (face value Re. 1). The scheme involves amalgamation of four entities (Sansar Infrastructure, Star Vanijya, Sunima Trading, Yajur Commodities) and a demerger from Genus Power Infrastructures into Genus Prime Infra, under Sections 230-232 of the Companies Act. New shares allotted will subsequently be listed on BSE. Fractional entitlements will be rounded up to the next whole share.
Genus Power Infrastructures shareholders will receive additional Genus Prime Infra shares based on the 1:6 ratio, effectively giving them exposure to the demerged/resulting entity. Investors should ensure their demat details are updated and hold shares on the Record Date to be eligible for the entitlement.
