Genus Prime Infra Ltd (formerly Gulshan Chemfill Limited) held its 25th AGM on September 26, 2025, via video conferencing from 12:00 PM to 12:36 PM, chaired by Non-Executive Director Mrs. Simple Agarwal. Five resolutions were transacted and all passed with the requisite majority: adoption of audited standalone and consolidated financial statements for FY ended March 31, 2025, re-appointment of Mrs. Simple Agarwal as director retiring by rotation, re-appointment of Mr. Udit Agarwal as Independent Non-Executive Director, appointment of Secretarial Auditors, and approval of a related party transaction under Section 188 of the Companies Act, 2013. Remote e-voting was open from September 23 to September 25, 2025, with Ms. Komal of M/s. Komal & Associates appointed as scrutinizer. Results were to be declared within two working days, and the Chairperson of the Audit Committee, Nomination and Remuneration Committee, and Stakeholders Relationship Committee were present along with statutory and secretarial auditors.
