Genus Prime Infra Ltd (formerly Gulshan Chemfill) reported audited results for Q4 and FY25 with an unmodified (unqualified) auditor opinion. Standalone revenue was just Rs 1.22 lakh in Q4 FY25, down sharply from Rs 2.77 lakh a year ago, while full-year revenue slipped to Rs 19.29 lakh from Rs 19.67 lakh. The company posted a loss after tax of Rs 3.87 lakh on a standalone basis and Rs 3.67 lakh on a consolidated basis for FY25, with EPS at Rs (0.03) and Rs (0.02) respectively. The auditor included an Emphasis of Matter noting that the NCLT Allahabad Bench approved the company's merger/demerger scheme on April 24, 2025, but the impact has not been booked since the effective date is pending Form INC-28 filing by the amalgamating companies. The board also appointed M/s Komal & Associates as Secretarial Auditors for a 5-year term starting FY26, subject to shareholder approval.
The company is essentially an investment-holding entity with negligible operating activity and continues to post small losses. Shareholders should watch the pending NCLT merger effective date, as the scheme (amalgamation of three wholly-owned subsidiaries plus demerger of investment division from Genus Power Infrastructures) could materially change the company's scale and business profile once it becomes effective.
