GKB Ophthalmics held a postal ballot via remote e-voting from October 3 to November 1, 2025, with results declared on November 3, 2025. Two resolutions were voted on: (1) Ordinary Resolution for prior approval of the related party transaction linked to winding up material subsidiary GSV Ophthalmics Pvt Ltd, and (2) Special Resolution approving the voluntary winding up of that subsidiary. Resolution 2 passed overwhelmingly with 99.87% votes in favour (1,75,539 votes from 51 ballots). Resolution 1 initially failed with only 23.48% in favour, but after a shareholder holding 1,34,218 shares wrote to correct an inadvertent dissent vote, management accepted the correction and recorded the resolution as passed. Promoters did not cast any votes on either resolution.
The material subsidiary GSV Ophthalmics will be wound up, simplifying the group structure and removing a related party transaction in scope. Both resolutions have been formally approved by shareholders, clearing the way for the liquidation process to proceed.
