Glance Finance Ltd proposes to invest Rs. 31.73 lakhs to acquire 62,400 equity shares of Kotson's Private Limited (KPL) at Rs. 50.85 per share (face value Rs. 10) through the secondary market. KPL is in the business of designing, manufacturing and supplying transformer solutions, including oil-filled, dry-type, and renewable energy transformers, with a plant capacity of 4,000 MVA. Glance Finance already holds 7,19,656 shares (5.14%) in KPL, and after this acquisition its stake will rise to 7,82,056 shares (5.59%). The acquisition is not a related party transaction and is being done purely as an investment activity for long-term value creation. KPL's turnover was nil in FY24, Rs. 16.45 crore in FY23, and Rs. 32.51 crore in FY22. The deal is expected to complete by October 31, 2025.
This is a small incremental investment (only ~0.45% increase in shareholding) by an investment-holding company and is unlikely to materially affect Glance Finance's stock price. For shareholders, it signals continued deployment of capital into the transformer manufacturing space, though the modest size and KPL's declining turnover (Rs. 32.51 Cr to nil over 3 years) suggest this is a minor portfolio adjustment rather than a strategic transformation.
