GMR Power and Urban Infra Limited, through its wholly-owned subsidiary GMR Energy Limited (GEL), has acquired an additional 2.37% equity stake (5.09 crore shares) in GMR Kamalanga Energy Limited (GKEL) from IDFC First Bank Limited for a cash consideration of Rs. 60 Crore. The transaction, completed on March 30, 2026, consolidates GPUIL's effective holding in GKEL to close to 100%, giving it full strategic control over the entity. GKEL operates a 1050 MW coal-based thermal power plant in Dhenkanal, Odisha, with a turnover of Rs. 3,017 Crore in FY25 (Rs. 2,955 Crore in FY24 and Rs. 3,194 Crore in FY23). The deal is at a negotiated price between GEL and IDFC, with IDFC confirmed as not being a related party, and no regulatory approvals were required.
This is a value-accretive consolidation move — GPUIL secures near-complete ownership of a Rs. 3,000+ Crore revenue power asset at a nominal cost of Rs. 60 Crore, simplifying the group structure and improving strategic control. For shareholders, it means the full earnings of GKEL will flow to GPUIL going forward, potentially boosting consolidated revenue and profitability while eliminating minority interest leakage.
