Go Fashion (India) Limited, the women's bottom-wear retailer (Go Colors brand), reported Q1 FY26 results with revenue from operations of ₹222.83 crore, up marginally from ₹220.09 crore in Q1 FY25. However, profit after tax fell about 22% to ₹22.26 crore from ₹28.65 crore a year ago, with EPS dropping to ₹4.12 from ₹5.30. The Board approved re-appointments of Managing Director Prakash Kumar Saraogi, Executive Director & CEO Gautam Saraogi, and three Independent Directors (Srinivasan Sridhar, Dinesh Madanlal Gupta, Rohini Manian) for fresh five-year terms starting 2025-2026. Mr. Vinod Kumar Saraogi, a co-founder and promoter family member (brother of the MD and paternal uncle of the CEO), was inducted as an Additional Non-Executive Director. Separately, Mr. Rahul Saraogi, also a promoter family member (son of the MD), resigned citing pre-occupation and other professional commitments. A new secretarial auditor, M/s. Sridharan & Sridharan Associates, was also appointed for a five-year term.
Q1 numbers are mixed — flat top line but weaker margins and profits versus last year, which may pressure the stock in the short term. The board reshuffle is largely continuity-driven for the executive team, with a promoter family member joining and another stepping out; net promoter control remains intact, so governance impact for retail shareholders is limited. The 15th AGM is scheduled for September 4, 2025, where shareholders will vote on the re-appointments.
