Godavari Biorefineries Limited is seeking shareholder approval via postal ballot for two special resolutions: (1) re-appointment of Mr Nitin Mehta as an Independent Director for a second 5-year term from July 1, 2026 to June 30, 2031, and (2) re-appointment of Dr Sangeeta Srivastava as a Whole Time Director (Executive Director) for 3 years from August 1, 2026. The remote e-voting period runs from May 29, 2026 to June 28, 2026. Dr Srivastava's proposed remuneration includes basic salary of Rs 4,92,066 per month plus special allowance of Rs 2,39,696, bonus at 20% of basic, commission at 0.3% of net profit, and various perquisites. The company reported revenue from operations of Rs 19,649.20 crore in FY 2025-26 versus Rs 18,531.66 crore in FY 2024-25. Net profit after tax improved significantly to Rs 123.62 lakh from a loss of Rs 2,175.95 lakh, driven by higher revenue and reduced finance costs.
Both re-appointments are routine corporate governance matters with no material impact expected on the stock. The resolutions require simple majority approval via postal ballot.
