Godawari Power and Ispat Limited (GPIL) has increased its stake in its wholly owned subsidiary Godawari New Energy Private Limited (GNEPL) from 10,11,00,000 to 30,00,00,000 equity shares, now holding 100% of paid-up capital. The increase happened through conversion of 19,89,00,000 preference shares (Series 1 & 2) into equal equity shares of Rs 10 each at par, valued at Rs 198.90 Crores. No fresh funds were infused — it was a non-cash conversion of instruments already held. GNEPL, incorporated in June 2025, is setting up a 20 GWh Battery Energy Storage System (BESS) plant in Maharashtra, with operations yet to begin (turnover is currently NIL and net worth is Rs 101.10 Crores as of December 2025).
This is an internal capital restructuring within the group rather than a new acquisition, so there is no immediate impact on GPIL's cash flows or minority shareholders. However, it signals GPIL's deeper commitment to the battery energy storage business, which could be a future growth driver but carries execution risk since GNEPL has not yet started operations.
