The National Company Law Tribunal (NCLT), Cuttack Bench has sanctioned the Scheme of Amalgamation of Godawari Energy Limited, a wholly-owned subsidiary, into Godawari Power and Ispat Limited, with the order pronounced on March 10, 2026. The Appointed Date for the merger is April 1, 2025, and the scheme will become effective once the certified order is filed with the Registrar of Companies. The primary purpose is to consolidate the group structure, achieve business synergies, and strengthen financial flexibility. No new shares will be issued by the Company since Godawari Energy is already its wholly-owned subsidiary, meaning there will be no dilution for existing shareholders. The Transferor Company had outstanding unsecured debentures of Rs. 65.65 crore held entirely by GPIL, which will stand cancelled. The Transferor's authorised share capital of Rs. 25 crore will be added to GPIL's capital, raising the consolidated authorised capital to Rs. 99 crore.
This is a structural simplification with no financial dilution for shareholders, as the merger involves only a wholly-owned subsidiary. Expect minimal stock price impact, though the consolidated entity may benefit from operational synergies and a cleaner group structure going forward.
