Godrej Industries Limited has submitted the Scrutinizer's Report and voting results of its postal ballot concluded on September 27, 2025. Three resolutions were put to shareholders and all passed: (1) Special Resolution approving investment of up to Rs. 4,000 crore in a new wholly owned subsidiary called Godrej FS Limited, which will acquire GIL's entire stake in Godrej Capital Limited (passed with 99.89% votes in favour); (2) Special Resolution approving a further investment of up to Rs. 1,000 crore in Godrej FS Limited for onward investment in its subsidiaries (passed with 99.54% in favour); and (3) Ordinary Resolution approving material related party transactions with Godrej FS Limited for the divestment of equity stake in Godrej Capital Limited (passed with 99.50% in favour, with promoter group abstaining as expected for an RPT). Voting was conducted via remote e-voting between August 29 and September 27, 2025, with about 91.5% of outstanding shares participating on the first two resolutions.
