Gokul Agro Resources reported strong Q1 FY26 results. Standalone revenue from operations grew 16% year-on-year to Rs. 4,624.95 crore, while net profit jumped 52% to Rs. 64.20 crore (EPS of Rs. 4.35). On a consolidated basis, revenue rose 14.8% to Rs. 4,924.35 crore and net profit grew 35% to Rs. 70.99 crore (EPS Rs. 4.85). The board also approved a stock split (1 share of Rs. 2 into 2 shares of Rs. 1) to improve retail participation, a new ESOP 2025 plan covering 28 lakh options, and issuance of 18 lakh sweat equity shares (10 lakh to CMD Kanubhai Thakkar and 8 lakh to Joint MD Jayesh Thakkar) at Rs. 303.56 per share. M/s Pipara & Co LLP will replace M/s Surana Maloo & Co as statutory auditor after their second term ends at the September 12 AGM.
Strong profit growth signals operational momentum, but the sweat equity issuance to promoter directors (related-party transaction worth about Rs. 54.6 crore) and pending stock split will increase share count and cause some dilution. The auditor change is routine and due to tenure completion, not any concern.
