Golkunda Diamonds & Jewellery has issued a corrigendum to its EGM notice (EGM to be held on 9th March 2026 at 3:00 PM via video conferencing) for a proposed preferential issue of convertible warrants to non-promoter allottees. One proposed allottee, Ramesh Parisingh Jain (earlier allocated 50,000 warrants), has been disqualified under SEBI ICDR Regulation 159(1) because he bought and sold the company's shares within 90 days of the relevant date. As a result, the total issue size has been reduced from 12,90,000 to 12,40,000 warrants at Rs. 214 per warrant (face value Rs. 10 + premium Rs. 204), potentially raising up to around Rs. 26.54 crore if all warrants are converted into equity. The corrigendum also revises the post-issue shareholding pattern tables in the EGM notice to reflect the smaller issue and the disqualified allottee. The EGM will consider the preferential issue as a special resolution; all other terms of the original notice remain unchanged.
Slight reduction in potential dilution for existing shareholders (down by 50,000 warrants), and the company raises marginally less capital than originally planned. The disqualification of one allottee is a routine SEBI compliance adjustment and is not expected to materially affect the fundraise or the stock price.
