Goodyear India has issued a Postal Ballot Notice seeking shareholder approval via remote e-voting (from November 24, 2025 to December 23, 2025) for two special resolutions. The first is the appointment of Mr. Gajanan Vithal Gandhe (DIN: 02023395), a 35-year auto and mobility industry veteran currently heading Dana Incorporated India, as an Independent Non-Executive Director for a five-year term starting January 1, 2026. The second is a one-time additional remuneration of Rs. 6,34,774 to Mr. Sandeep Garg, the existing Whole Time Director and CFO, as reimbursement of notice period payout made to his previous employer at the time of his April 2025 appointment. The company clarifies that this reimbursement amount was inadvertently omitted from the earlier shareholder approval (March 27, 2025) and is now being regularised.
These are largely routine governance items. The new independent director brings deep automotive sector expertise which should strengthen board oversight, while the small additional payout to the CFO is essentially a procedural correction with no material financial impact on shareholders.
