Graphite India has announced the results of its postal ballot conducted via remote e-voting from February 23 to March 24, 2026. Shareholders were asked to vote on two resolutions: (1) a special resolution to approve payment of commission to Non-Executive Directors, and (2) an ordinary resolution to approve an increase in the remuneration of Mr. Siddhant Bangur. Both resolutions were passed with the requisite majority, as confirmed by the scrutinizer Mrs. Swati Bajaj of Bajaj Todi & Associates. The postal ballot was sent electronically to 205,392 eligible shareholders as on the cut-off date of February 13, 2026.
Routine corporate governance outcome — approval of director commission and higher pay for an executive director (likely a promoter-group member) is generally expected and unlikely to materially move the stock. Investors may note the increased remuneration outflow going forward.
