Grasim Industries conducted a postal ballot (e-voting) from 26 February to 27 March 2026 to seek shareholder approval for re-appointing two Independent Directors for a second 5-year term starting 24 May 2026: Mr. V. Chandrasekaran (DIN: 03126243) and Mr. Adesh Kumar Gupta (DIN: 00020403). Both resolutions were passed with the required majority. For Chandrasekaran's re-appointment, 90.78% of votes polled were in favour (49.18 crore shares) versus 9.22% against. For Gupta's re-appointment, 93.55% were in favour (50.69 crore shares) versus 6.45% against. Promoters voted 100% in favour of both, while public institutional holders showed 74% support for Chandrasekaran and 82% for Gupta. Retail/public non-institutional shareholders backed both directors with over 99% support. The Scrutiniser, BNP & Associates, confirmed the process was fair and transparent.
This is a routine governance outcome with no material impact on the stock. Both independent directors continue on the board for another five-year term, ensuring board continuity. The relatively high dissent from institutional investors on Chandrasekaran's re-appointment (around 26%) is worth noting but is not uncommon and does not signal governance trouble.
