Gravity (India) Limited submitted its Annual Secretarial Compliance Report for the year ended March 31, 2025 to BSE. The Practicing Company Secretary flagged four instances of non-compliance during the period: (1) the company website was not fully updated as required under Regulation 46, (2) quarterly financial results for October–December 2024 were filed 3 days late in Integrated Filing mode, (3) some corporate announcements were signed using wet signatures instead of Digital Signature Certificates, and (4) an Independent Director's resignation letter lacked the detailed reason prescribed under Schedule III. No fines were levied for these new lapses, and the company said they were inadvertent and would be rectified. Separately, the report disclosed that BSE had earlier frozen the demat accounts of the company's promoters (the Thakkar family) over unpaid dues. The company has since paid Rs. 3,74,060 in penalties relating to older non-compliances (Regulation 24A for March 2021, Regulation 34 for March 2018, and Regulation 6(1) for September 2019, March 2020, and June 2020). The company was found to be generally compliant with Secretarial Standards, related-party transaction norms, insider trading rules, and director disqualification checks, and reported no action taken by SEBI against it during the year.
This is largely a routine compliance filing, but the recurring minor lapses and the earlier promoter demat freeze point to weak governance discipline, which may be a concern for investors monitoring regulatory hygiene at this small-cap BSE-listed company.
