GSB Finance Ltd has informed BSE that the Acquirers — Vivek Kumar Singhal, Kshitij Agrawal, Nivesh Mandi Pvt Ltd and Stock Mandi — have acquired the remaining 50,350 shares from selling shareholder GSB Securities Pvt Ltd, completing the Share Purchase Agreement dated November 29, 2024. Under the SPA, the Acquirers bought 33,14,820 shares (55.25% of voting capital) from the promoter family at ₹13 per share, totalling about ₹4.31 crore. This triggered a mandatory open offer for up to 15,60,000 shares (26% of capital) from public shareholders at ₹20 per share (revised to ₹21.44 with 10% interest for delay), aggregating up to ₹3.34 crore. The offer ran from Sept 30 to Oct 14, 2025 and was settled on Oct 30, 2025. The Acquirers will take over control of the NBFC and the selling promoters will apply for declassification from the promoter group. RBI approval was required because GSB Finance is an RBI-registered NBFC.
Public shareholders who tendered in the open offer received ₹21.44 per share in cash. For remaining shareholders, expect a change of control and likely management reshuffle; the acquirers have stated no intention to delist the stock, but promoter identity has effectively changed.
