Gujarat Gas Limited announced that its Composite Scheme of Arrangement has become effective from 1st May 2026, following the filing of e-Form INC-28 with the Registrar of Companies, Ahmedabad. Under this scheme, three transferor companies - Gujarat State Petroleum Corporation Limited (GSPC), Gujarat State Petronet Limited (GSPL), and GSPC Energy Limited (GEL) - have been amalgamated into Gujarat Gas Limited without winding up. Additionally, Gujarat Gas Limited's Gas Transmission Business Undertaking has been demerged into GSPL Transmission Limited (the Resulting Company). The MCA had previously sanctioned this scheme, and the record date for the arrangement had been fixed.
This corporate restructuring consolidates multiple GSPC group entities into Gujarat Gas Limited while separating the transmission business. Shareholders of GGL should monitor for further communications regarding share exchange ratios and entitlement letters from the demerged transmission business.
