Gujarat Kidney and Super Speciality Ltd informed the exchanges that the NCLT Ahmedabad has approved its petition under Section 131 of the Companies Act, 2013 for voluntary revision of its Board's Report and notes forming part of its unaltered audited financial statements for three financial years (FY 2021-22, 2022-23 and 2023-24). The corrections relate to clerical and typographical errors such as a wrong section reference in the Directors' Responsibility Statement, a copy-paste mistake in the Annual Return disclosure, incorrect dates of board meetings and a director's appointment, wrong effective date for change in company status (private to public), and miscategorisation of an amount as 'Loan to Directors' which is actually business transfer collectibles. The NCLT noted these are inadvertent clerical errors with no impact on actual financial figures. The company has been directed to file revised forms AOC-4 within 30 days and pay a Rs 10,000 fee under Section 450 of the Companies Act.
This is a procedural compliance cleanup with no impact on the company's financials, operations or reported figures. Only a minor Rs 10,000 penalty applies, so it is unlikely to materially affect shareholders or the stock price. Investors should note that a separate adjudication proceeding under Section 42(9) initiated by the RoC remains unaffected by this order.
