Gujarat Natural Resources Limited held its 34th AGM on August 8, 2025 via video conferencing, lasting just 10 minutes (3:30 PM to 3:40 PM). All 11 resolutions were passed, including adoption of FY25 financial statements, re-appointment of director Mr. Hitesh Donga, appointment of secretarial auditor, regularization of two independent directors (Mr. Paragkumar Raval and Mrs. Deepti Gavali), and approvals to increase borrowing limits under Section 180(1)(c) and loan/investment limits under Section 186. Four special resolutions approved material related party transactions with Rhetan TMT, Ashnisha Industries, Ashoka Metcast, and Lesha Industries. The first seven resolutions passed with strong support of around 98.89%, while the four RPT resolutions saw lower support at 90.94% with about 9% opposition and 27.27 million invalid votes. Promoters (holding 2.97 million shares) abstained from voting on the RPT resolutions as interested parties, resulting in only 37.36% of outstanding shares being polled for those resolutions.
Shareholders have given the company wider borrowing and investment flexibility, which could enable future expansion or acquisitions but also increases financial risk. The notable dissent and invalid votes on related party transactions suggest some minority shareholders are uncomfortable with deals involving connected entities, warranting closer monitoring of how these RPTs are executed.
