Gujarat State Petronet Limited (GSPL) announced that its Board has noted the Ministry of Corporate Affairs (MCA) order dated 8th April 2026 sanctioning a Composite Scheme of Arrangement. The scheme involves demerger where GSPL, along with Gujarat State Petroleum Corporation (GSPC) and GSPC Energy Limited (GEL), transfer assets/liabilities to Gujarat Gas Limited (GGL as Transferee) and GSPL Transmission Limited (GTL as Resulting Company). GSPL shareholders will receive 1 GGL share for every 1.3 GSPL shares held (share exchange ratio of 10 GGL shares for every 13 GSPL shares). Record Date is fixed as 12th May 2026, and GSPL trading will stop from that date. The scheme is expected to become effective around 1st May 2026 upon filing e-Form INC-28 with RoC.
GSPL shareholders will exit their GSPL holdings and receive GGL shares as compensation, effectively resulting in GSPL's delisting from BSE and NSE. This is a major corporate restructuring that will alter the shareholding structure and liquidity profile for existing GSPL investors.
