Gujarat Terce Laboratories has submitted its 40th AGM Notice and Annual Report for FY 2024-25 to the BSE. The 40th AGM will be held on 21st August 2025 at 1:00 PM via video conferencing, with e-voting open from 18th to 20th August 2025. Key resolutions include adoption of audited financials, re-appointment of a director and statutory auditors, appointment of a secretarial auditor, regularization of an independent director, sale of the Chhatral factory, and approval of up to Rs. 10 crore in loans/investments under Section 186. FY25 financials showed revenue of Rs. 5,019.52 lakh (up 4.6%), EBITDA of Rs. 419.04 lakh (up 164%), and profit before tax of Rs. 339.04 lakh (an all-time high), though reported PAT was a Rs. 97.87 lakh loss due to a one-time settlement of legacy tax disputes under the Vivad Se Vishwas scheme. The company also plans a plant upgrade for Schedule M compliance and 5-6 new product launches in FY26.
Shareholders should watch the special resolution to sell the Chhatral factory and the Section 186 approval for Rs. 10 crore in investments, both of which could materially affect asset base and capital allocation. Operational turnaround is evident with zero borrowing in Q4 FY25, but the FY25 net loss is a one-time optics issue and not reflective of underlying business improvement.
