Gujarat Themis Biosyn Limited (GTBL) has signed an Asset Purchase Agreement with Sanofi to acquire 13 branded generic products in the anti-tuberculosis and anti-infective segments, marketed in over 55 countries across Europe, the Middle East, and Africa. The acquired portfolio reported net sales of approximately Euro 62 million in FY25, Euro 67 million in FY24, and Euro 66 million in FY23. GTBL will pay Euro 158 million in cash at closing, with the deal expected to close by end of December 2026, subject to antitrust and FDI approvals. The transaction is asset-light, involving brands, marketing authorizations, regulatory dossiers, inventory, and commercial rights — but no legal entity, manufacturing facilities, or employees. GTBL stated the deal strengthens its global generic pharmaceuticals platform and enables forward integration with its existing fermentation-based API capabilities.
This is a significant international acquisition for a small-cap pharma company, giving GTBL immediate entry into regulated and semi-regulated markets with an established revenue-generating portfolio. The cash deal size of Euro 158 million is sizeable relative to GTBL's scale, so investors should watch for funding arrangements and post-deal financial performance. The deal could materially boost revenues and global footprint if completed successfully.
