GTBL has entered into a definitive agreement to acquire 100% equity of MicroBiopharm Japan Co., Ltd. (MBJ) through its wholly owned Japanese subsidiary, Themis Biosyn Japan Limited. The deal is valued at JPY 21.5 Billion (approximately INR 1,300 Crores), to be funded via a mix of debt and equity. MBJ is a 60-year-old Japanese pharmaceutical company with strong capabilities in microbial fermentation, CDMO services, oncology APIs, plasmid DNA, ADC conjugation, and enzyme-based bioconversion. MBJ reported revenues of ~INR 470 Crores (FY23), ~INR 580 Crores (FY24), and ~INR 560 Crores (FY25), with FY2026E revenue estimated at ~INR 570 Crores. The acquisition is not a related party transaction. The deal is subject to Japanese FEFTA approval and other regulatory clearances, and is expected to close in Q2 FY2027.
This is a transformative acquisition, nearly doubling GTBL's scale and accelerating its pivot into a full-fledged CDMO platform with advanced biotech capabilities. At ~2.3x FY2026E revenue, the deal is value-accretive but introduces significant debt. Positive for long-term growth prospects and stock re-rating potential.
