Gujarat Themis Biosyn (GTBL) has announced the acquisition of 100% equity in MicroBiopharm Japan Co., Ltd. (MBJ) for JPY 21.5 billion (~INR 1,300 crore), to be funded through a mix of debt and equity. The deal is expected to close in Q2 FY2027 and is described as EPS accretive. MBJ is a Japan-based fermentation and CDMO company with 3 GMP-compliant plants (FDA and PMDA approved), FY26E revenue of ~JPY 9.5 billion (~INR 570 crore), and over 60 years of experience. Its business spans proprietary APIs/intermediates, CDMO services, and biologics, with ~40% of revenue sourced outside Japan. The acquisition gives GTBL access to advanced technologies including plasmid DNA, ADC conjugation, and a proprietary P450 enzyme library, alongside established relationships with top global pharma companies.
The deal positions GTBL as a scaled, fermentation-based globally integrated CDMO with access to regulated markets and high-value therapeutic segments, with potential margin expansion by leveraging India's cost advantage.
