Gujarat Themis Biosyn Limited (GTBL) has entered into a definitive agreement to acquire 100% equity shareholding of MicroBiopharm Japan Co., Ltd. (MBJ), a Japan-based pharmaceutical company, through its wholly owned Japanese subsidiary. The total acquisition cost is JPY 21.5 Billion (approximately INR 1,300 Crores), to be funded through a mix of debt and equity. MBJ specializes in microbial fermentation, biotechnology-based manufacturing, and CDMO services with capabilities in oncology APIs, plasmid DNA, and ADC conjugation. MBJ reported estimated revenue of INR 570 Crores for FY2026E. The deal is expected to close in Q2 FY2027, subject to regulatory approvals including Japan's Foreign Exchange and Foreign Trade Act. This is not a related party transaction.
This acquisition positions GTBL to transform from a fermentation intermediates business into a diversified CDMO platform with advanced biotechnology capabilities. The INR 1,300 Crores acquisition at ~2.3x revenue multiple could be earnings accretive if successfully integrated, though the debt-equity funding mix may temporarily increase leverage.
