Gujarat Themis Biosyn Limited (GTBL) has announced the signing of a definitive agreement to acquire 100% equity shareholding in MicroBiopharm Japan Co., Ltd. (MBJ), a Japanese pharmaceutical company with over six decades of experience in fermentation-based APIs, CDMO services, and specialty chemicals. The deal is valued at approximately JPY 21.5 billion (around INR 1,300 crores), payable at closing and expected to be funded through an optimal mix of debt and equity. MBJ recorded estimated revenue of JPY 9.5 billion (INR 570 crores) for FY26E, with over 47% coming from proprietary pharmaceuticals and non-pharma products, and roughly 40% from overseas markets. The transaction is expected to close in Q2FY27, subject to customary approvals. GTBL plans to integrate MBJ's fermentation technology platform, proprietary drug portfolio (oncology, immunosuppressants, antibiotics, peptides), and advanced capabilities (ADC conjugation, plasmid DNA) with its own manufacturing infrastructure, accelerating its transition into a globally integrated CDMO platform.
The acquisition is expected to be EPS accretive and significantly expands GTBL's capabilities in fermentation technology, biologics, and advanced drug manufacturing while providing access to regulated markets through MBJ's FDA and PMDA-audited sites. The deal creates a combined platform with combined revenue of approximately INR 570 crore from MBJ alone, positioning GTBL as a globally competitive CDMO player.
