H.G. Infra Engineering's wholly owned subsidiary H.G. Green Energy Private Limited has sold a 26% stake in each of three solar project entities — H.G. Bikaner Solar, H.G. Muknasar Solar, and H.G. Paleena Solar Project Private Limited — to Stockwell Solar Services Private Limited (SSSPL), a renewable energy firm founded by IITians in 2017. The consideration is minimal: Rs. 26,000 per entity (2,600 equity shares at Rs. 10 each). All three subsidiaries were incorporated in FY 2024-25 and have contributed nil revenue or net worth so far. As a result, the three entities will cease to be wholly owned subsidiaries but will remain subsidiaries of H.G. Infra, with the transaction expected to complete by September 3, 2025. SSSPL is unrelated to the promoter group, and the deal is not a related-party transaction.
This is a small, symbolic partnership move into solar energy — H.G. Infra retains 74% control while bringing in a specialist renewable energy partner. The negligible financial impact means little direct effect on shareholders, but it signals the company's intent to expand in solar projects with a technical partner.
