H.G. Infra Engineering has begun selling its stake in H.G. Khammam Devarapalle PKG-1 Private Limited, a subsidiary SPV, to Neo Infra Income Opportunities Fund. The company has transferred 49% of the stake for a first tranche of ₹81.69 crore, with the remaining 51% to be sold for a total deal value of ₹233.77 crore by June 30, 2026. The SPV contributed ₹296.42 crore (5.9%) to consolidated revenue and ₹110.64 crore (2.2%) to consolidated net worth in FY25. After the full transfer, the entity will no longer be a wholly owned subsidiary but will remain a subsidiary. The buyer is unrelated to the promoter group, and the deal is not a slump sale or related party transaction.
This stake sale monetises a project SPV, bringing in ₹233.77 crore in cash and reducing the company's exposure to that specific infrastructure asset. Short term, shareholders may view this positively as cash inflow against a relatively small revenue contributor, though the stock impact depends on how the proceeds are deployed.
