Halder Venture Limited has submitted the scrutinizer's report for a postal ballot conducted via remote e-voting from March 31 to April 29, 2026. Two resolutions were put to shareholders: (1) Ordinary Resolution to increase the authorised share capital and alter the Memorandum of Association - passed with 99.9998% approval (74 members, 9,537,125 shares in favour vs 5 members, 15 shares against); (2) Special Resolution for issuance of fully convertible warrants on preferential basis to non-promoter category - passed with 99.9973% approval (70 members, 9,536,878 shares in favour vs 9 members, 262 shares against). Both resolutions received overwhelming shareholder support with near-unanimous approval.
The increase in authorised share capital clears the path for future capital raising activities. The preferential issuance of convertible warrants to non-promoters will bring fresh capital into the company but will dilute existing shareholder holdings. Shareholders should note the potential dilution impact from the warrant conversion.
