The Board of Phoenix Township Limited (PHOENIXTN), part of the HBG Hotels group, in its meeting on 22 October 2025 approved the allotment of 5,70,000 equity shares at Rs. 143 per share (including Rs. 133 premium) on conversion of warrants held by non-promoter/public allottees, receiving the balance 75% amount (Rs. 107.25 per warrant). The total consideration received is about Rs. 8.15 crore. Shares were allotted to 8 investors including individuals such as Neeru Shah, Alka Taparia, Pratima Baid, Kharag Singh Dudhoria, Nishith Shah, and corporates SVI Consolidated and Black Hawk Properties. The newly issued shares will rank equally with existing equity shares. Additionally, 4,45,000 warrants remain outstanding which can still be converted within 18 months.
The conversion increases the company's equity base by 5,70,000 shares, causing mild dilution for existing shareholders, but also brings in Rs. 8.15 crore of fresh capital which could strengthen the balance sheet.
