HCG has approved the sale of its entire stake in BACC Health Care Private Limited to Inviga Healthcare Fund I for INR 37.64 crore. BACC operates in fertility and reproductive healthcare services, which HCG has clarified is not its core business. The transaction involves INR 28.23 crore payable at closing and INR 9.41 crore as deferred consideration within 18 months. BACC contributed just 4.45% to HCG's standalone revenue and 1.09% to net worth in FY26. The deal qualifies as a related party transaction since Dr. B.S. Ajaikumar, HCG's Promoter and Non-Executive Chairman, is the Sponsor of the buyer fund. The company states the sale follows a competitive process at arm's length with independent valuation, and proceeds will fund growth in cancer care services.
The divestment removes a non-core fertility business from HCG's portfolio, with minimal revenue impact. For shareholders, the transaction signals strategic focus on cancer services and provides some capital infusion. The related party nature and independent valuation provide some comfort on pricing, though the deferred component introduces timing risk.
