Heranba Industries Limited is seeking shareholder approval via postal ballot for two director appointments effective April 1, 2026. First, Mr. Omprakash Singh is proposed as a Non-Executive Independent Director for a 5-year term (till March 31, 2031). He holds an LL.B. from University of Bombay, is an Associate Member of ICSI, and brings over 40 years of experience in secretarial practice, corporate laws, SEBI compliances, and intellectual property. He does not hold any shares in the company. Second, Mr. Roshan R. Shetty is proposed as Executive Director (Whole Time Director) for a 5-year term. He holds degrees in Chemical Engineering from ICT Mumbai and Georgia Institute of Technology, has over 6 years of experience, and is currently Head of Project, R&D at Heranba. He holds 1.59% equity (6,36,250 shares) and is the son of Managing Director Raghuram K. Shetty — making him part of the promoter group. His proposed annual CTC is approximately Rs. 28.8 lakhs. Remote e-voting runs from April 22, 2026 to May 21, 2026, with results declared within 2 working days thereafter.
Both appointments will strengthen the Board's governance and operational expertise. However, Roshan Shetty's appointment reinforces promoter family influence on the board, given his kinship to the Managing Director. Shareholders should assess whether the remuneration of Rs. 28.8 lakhs per annum is justified given his relatively limited board meeting attendance (0% in FY 2025-26).
