Heranba Industries has converted ₹450 Crores of inter-corporate deposits (ICDs) granted to its wholly-owned subsidiary, Heranba Organics Private Limited (HOPL), into 45 crore Optionally Fully Convertible Debentures (OFCDs) of ₹10 each at par. HOPL is an unlisted subsidiary engaged in agrochemicals with FY 2024-25 turnover of ₹220.58 Crores. This is an internal debt restructuring transaction with no fresh cash outflow and no change in the company's 100% ownership or control over HOPL. The transaction qualifies as a related party transaction but was conducted on an arm's length basis.
This internal restructuring has no direct impact on Heranba Industries' shareholding or consolidated financials as it merely converts existing loans into debentures within its wholly-owned subsidiary. It may improve HOPL's financial flexibility and debt visibility.
