Heranba Industries Limited's wholly-owned subsidiary Heranba Organics Private Limited (HOPL) has agreed to issue and allot 45 crore OFCDs of ₹10 each at par, valued at ₹450 crores, to Heranba Industries. This issuance is in conversion of existing unsecured inter-corporate deposits (ICDs) that the company had granted to HOPL. The transaction is part of internal debt restructuring of the wholly owned subsidiary and does not involve any fresh cash outflow. The company's shareholding and control in HOPL remains unchanged at 100% before and after the transaction. HOPL is a related party, and the conversion has been undertaken on an arm's length basis. HOPL is engaged in agrochemicals with a turnover of ₹220.58 crores in FY 2024-25.
