Hercules Hoists Limited has issued an addendum to the notice of its 63rd Annual General Meeting, scheduled for August 12, 2025, adding a new Item No. 7 for shareholder approval. The resolution seeks consent for material related party transactions during FY 2025-26, covering up to Rs. 30 crore in equity investments across 11 listed Bajaj Group companies (including Bajaj Auto, Bajaj Finance, Bajaj Finserv, Bajaj Housing Finance, Bajaj Electricals, etc.), Rs. 30 crore in mutual funds of Bajaj Group AMC, Rs. 30 crore in group debt exposures, and Rs. 10 crore in fund transfers to Indef Manufacturing Ltd linked to a demerger scheme. The transactions are stated to be at arm's length and have been recommended by the Audit Committee and Board. Aggregate potential related party exposure is Rs. 100 crore, and shareholder approval is being sought because the value may cross SEBI's materiality threshold of Rs. 1,000 crore or 10% of consolidated turnover. The addendum was filed by Company Secretary Chandrasekar Pillutla and signed by Chairman Shekhar Bajaj on August 2, 2025.
Shareholders will be asked to vote on the new resolution at the upcoming AGM; approval simply enables routine treasury deployment into Bajaj Group instruments and a demerger-related fund transfer. There is no direct share price impact, but the resolution is a procedural compliance step under SEBI's related party transaction rules.
