Hexaware Technologies' Board has approved acquisition of Consulting Professionals Services Holdings Ltd (CPS) and its subsidiary Consulting Professionals Services Ltd through its UK subsidiary. CPS is a specialist technology consulting firm providing regulatory compliance, technology infrastructure, governance, risk, and business transformation services primarily to a FTSE 100 client. The deal is for 100% acquisition at GBP 11 million (INR 1397 million) in all-cash consideration, comprising GBP 6 million upfront and up to GBP 5 million linked to performance. CPS has annual turnover of GBP 11.74 million (INR 1490.98 million) and operates in UK and UAE. The transaction is expected to close within two weeks without requiring regulatory approvals.
This acquisition strengthens Hexaware's strategic positioning with a FTSE 100 client and supports its ambition to become a trusted AI and Cloud Transformation partner for financial institutions. The all-cash deal at ~GBP 11 million is relatively small but adds high-value consulting capabilities.
