The Board of Hi-Klass Trading and Investment Ltd met on September 1, 2025 and approved raising up to Rs. 50 crore by issuing up to 2 crore convertible warrants on a preferential basis at Rs. 25 per warrant (face value Rs. 5). To accommodate this, the authorised share capital will be raised from Rs. 7.5 crore to Rs. 17.5 crore, subject to shareholder approval. The warrants will be allotted to promoter group entity Nico India Consultancy LLP (holding to rise from 17.50% to 20.93%) and several non-promoter allottees. Independent Director Mrs. Sonu Agarwal resigned due to personal reasons, and Mr. Navin Kumar Jain was appointed as an Additional Non-Executive Non-Independent Director. The 32nd AGM is scheduled for September 27, 2025, with book closure from September 21–27, 2025.
Existing shareholders will see dilution if all warrants are converted into equity over the next 18 months. The promoter's stake will increase, which may be viewed as a signal of confidence, though the large preferential issuance could weigh on short-term stock sentiment due to equity dilution.
