Krishna Kabra HUF (acting with persons acting in concert) has disclosed a change in shareholding under SEBI Takeover Regulations. The trigger was the conversion of 7,50,000 fully convertible equity share warrants into equity shares, allotted on 11 February 2026. As a result, Krishna Kabra HUF's warrant holdings fell from 37,50,000 to 30,00,000 (11.08% of expanded capital), while equity shareholding stayed at 38,50,000 shares but the voting percentage dropped from 18.69% to 14.23% because the company's total equity capital expanded from about 2.06 crore to 2.71 crore shares. Several other Kabra family members were also allottees in the same warrant conversion. The acquirer has explicitly stated that it does not belong to the promoter or promoter group of the company.
This is a pre-committed warrant conversion, not a fresh market purchase, so it does not signal any new bullish or bearish bet on the stock. Existing shareholders should note equity dilution of around 31% (from ~2.06 cr to ~2.71 cr shares), which mechanically reduces every shareholder's percentage stake even though absolute share counts are unchanged.
