The board of Hilltone Software and Gases Ltd gave in-principle approval to acquire approximately 5% stake in Rzolut Technologies Pte. Ltd., a Singapore-based startup specializing in data products for risk and compliance (KYC, TPRM, and M&A). Rzolut, founded in August 2022, reported turnover of around Rs. 5 crore in FY24-25. The final stake and investment amount will depend on valuation and due diligence, for which a valuer and consultants will be appointed. Separately, the company's IT division secured a license renewal worth Rs. 43.89 lakh from a subsidiary of a large Indian Bank (Joget platform) and bagged a contract worth US $25,000 (around Rs. 23 lakh) from US-based health insurance firm Versante Health, with 30% advance already received.
This is a small, minority strategic investment (about 5%) in an early-stage startup, so material financial impact is limited for now. The deal diversifies Hilltone into the growing risk and compliance data solutions space and adds momentum to its IT vertical, but shareholders should wait for confirmed valuation and final terms before assessing real value accretion.
