Hilltone Software and Gases Ltd held its 32nd AGM on 29 September 2025 via video conferencing, where all 14 resolutions were passed with near-unanimous approval (~100% votes in favour). Key items approved include adoption of FY25 audited financial statements, reappointment of Mrs. Sapnaben Hitalbhai Shah as director, and appointment of M/s Ashvin K. Yagnik & Co. as statutory auditor and M/s Hussain Bootwala & Associates as secretarial auditor, both for five-year terms. Shareholders also cleared a preferential issue of 30,82,000 equity shares at Rs. 44 each (face value Rs. 10), raising around Rs. 13.56 crore. Other approvals included increasing authorised share capital with MOA alterations, expanding borrowing powers up to Rs. 200 crore under Section 180(1)(c), altering the main object of the company, adopting new Articles of Association, raising Section 186 investment/loan limits, and increasing NRI/OCI and FPI investment caps. Shareholder participation was thin: only 43.46 lakh shares (about 39.76% of the 1.09 crore total shares) were polled by 19 shareholders out of 1,725 on the record date.
The preferential allotment of 30.82 lakh shares at Rs. 44 will dilute existing shareholders and bring in new investors, while the sharp rise in borrowing limit to Rs. 200 crore and change in the company's main object signal plans for significant expansion or diversification. Thin voting turnout means outcomes were largely driven by promoter and a few public shareholders.
