Hindcon Chemicals informed the Exchange about the appointment of Ms. Ankita Banerjee as the new Company Secretary and Compliance Officer (a Key Managerial Personnel) with effect from 20th May 2025, following the resignation of Ms. Swati Agarwal effective 2nd May 2025. Ms. Banerjee is a Commerce and Law graduate, member of ICSI, with over 9 years of post-qualification experience. The Board also approved the appointment of Mr. Santosh Kumar Tibrewalla as Secretarial Auditor for a 5-year term (FY 2025-26 to FY 2029-30), subject to shareholder approval. The Board could not finalise the Standalone and Consolidated Audited Financial Results for Q4 and FY ended 31st March 2025 and has adjourned the meeting to 30th May 2025. The results, along with any dividend for FY 2024-25, will be considered at the adjourned meeting.
The delay in finalising Q4 and FY25 audited results and the adjournment of the Board meeting to 30th May 2025 may cause short-term uncertainty for investors awaiting earnings. The KMP transition and new secretarial auditor appointment are routine governance actions and unlikely to materially affect the stock price on their own.
