Both BSE and NSE have imposed a fine of Rs. 9,77,040 each (inclusive of 18% GST) on Hindustan Copper for non-compliance with SEBI (LODR) Regulations during the quarter ended December 2025. The non-compliance relates to Regulation 17(1) on Board composition (including failure to appoint a woman director), Regulation 18(1) on Audit Committee constitution, and Regulation 19(1) & (2) on Nomination and Remuneration Committee constitution. The bulk of the fine (Rs. 5,42,800) is for Board composition issues, with the remaining split equally between the two committee non-compliances. HCL explained that as a Government Company, director appointments are made by the President of India through the Ministry of Mines, and the matter is under their consideration. The company plans to seek a waiver of fines once the required directors are appointed.
This is a relatively minor regulatory fine (about Rs. 19.5 lakh total) with no material impact on the company's financial or operational performance. However, if non-compliance continues for a second consecutive quarter, the stock could be moved to the 'Z' group and face trading suspension, which is the key risk for shareholders to watch.
