Hindustan Foods Limited has allotted 19,79,349 equity shares (face value Rs. 2 each) following the conversion of convertible warrants by two investors: Malabar Select Fund (QIB, 9,15,331 shares at Rs. 546.25) and Bay Capital Holdings Limited (Non-QIB, 10,64,018 shares at Rs. 563.90). The company received approximately Rs. 82.5 crores as the balance 75% amount on these warrants. Separately, 5,32,009 warrants held by Ms. Vanaja Sundar Iyer lapsed as she did not exercise her conversion option, resulting in forfeiture of the 25% upfront money of around Rs. 7.5 crores. The company's paid-up equity capital has increased to Rs. 23.89 crores, comprising 11,94,81,762 shares.
This is a positive development for shareholders — the company successfully completed warrant conversions with marquee investors (Malabar Select Fund), raising around Rs. 82.5 crores of fresh capital at attractive issue prices, which strengthens the balance sheet. However, share dilution of nearly 19.79 lakh shares is a minor negative. The forfeiture of Rs. 7.5 crores from a non-exercising warrant holder is a small one-time gain for the company.
