Hindustan Foods Limited submitted the Monitoring Agency Report from CARE Ratings Limited for the quarter ended June 30, 2025, covering a preferential issue of convertible warrants originally sized at Rs. 399.99 crore. During Q1 FY26, 5,32,009 warrants (allotted to Ms. Vanaja Sundar Iyer) were cancelled due to non-exercise of the conversion option, reducing gross proceeds to Rs. 377.50 crore, with Rs. 7.50 crore forfeited. Net proceeds of Rs. 374.00 crore (after Rs. 3.50 crore issue expenses) have been received, of which Rs. 229.10 crore (~61%) has been utilized and Rs. 144.90 crore remains parked in fixed deposits with HDFC Bank. Key deployment includes Rs. 79.32 crore toward the strategic acquisition of MMG Enterprises' manufacturing facility (cost revised to Rs. 30.44 crore), Rs. 66.15 crore in greenfield projects, Rs. 41.70 crore in brownfield projects, and Rs. 41.94 crore toward General Corporate Purposes, including Rs. 6.92 crore used this quarter for vendor payments. The Monitoring Agency reported Nil deviation from stated objects.
The warrant cancellation modestly shrinks the funding pool, but utilization is broadly on track with the original purpose, and unutilized funds are earning interest in bank FDs. Shareholders should note the ongoing MMG Enterprises acquisition and the fact that proceeds are being routed through cash credit accounts (causing some comingling of funds), a mild governance point flagged by the monitoring agency.
